3. Description of Services

TaxSpectra, LLC engages Toomey & Toomey, PLLC as a subcontractor for the preparation of tax returns. TaxSpectra, LLC itself provides advisory services and related document management, which may include the use of secure, AI-assisted technologies for tax categorization, document analysis, and preparation of filings. All such services are provided in accordance with, and subject to, these Terms and Conditions.

4. Client Responsibilities

Clients must provide accurate, complete, and current information, including all required tax documents. You are responsible for maintaining the confidentiality of your login credentials and any activity conducted through your account.

5. Use of AI Tools

With your consent, we may utilize AI-powered tools for the purpose of document organization, classification, and analysis. These tools are assistive only and do not replace professional human review. No final tax decisions are made solely by AI.

AI Tools and Consent Requirements
TaxSpectra, LLC uses AI-powered tools to assist in organizing, classifying, and analyzing tax-related documents and client questions. These tools operate under strict confidentiality and do not make final decisions without human oversight.

Under federal law (Internal Revenue Code §7216), we may only use or disclose your tax return information to these tools if you have signed a written consent form. This form will be presented to you during onboarding.

- If you consent to Form 7216, we may use AI tools to improve accuracy and turnaround time.
- If you decline, we will process your return entirely manually, without the assistance of external AI systems.

You may revoke this consent at any time by contacting us in writing.

6. Consent to Electronic Communications

10. Limitations of Liability

To the fullest extent permitted by law, TaxEdgeAI, LLC shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, arising from or related to your use of the Services.

You agree to indemnify, defend, and hold harmless TaxSpectra, LLC and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
