1. Acceptance of Terms

By accessing or using the services provided by TaxSpectra, LLC (“Company”, “we”, “us”, or “our”), including our website, portal, or related services (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Services.

2. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements.

3. Description of Services

TaxSpectra, LLC engages Toomey & Toomey, PLLC as a subcontractor for the preparation of tax returns. TaxSpectra, LLC itself provides advisory services and related document management, which may include the use of secure, AI-assisted technologies for tax categorization, document analysis, and preparation of filings. All such services are provided in accordance with, and subject to, these Terms and Conditions.

4. Client Responsibilities

Clients must provide accurate, complete, and current information, including all required tax documents. You are responsible for maintaining the confidentiality of your login credentials and any activity conducted through your account.

5. Use of AI Tools

With your consent, we may utilize AI-powered tools for the purpose of document organization, classification, and analysis. These tools are assistive only and do not replace professional human review. No final tax decisions are made solely by AI.

TaxSpectra, LLC uses AI-powered tools to assist in organizing, classifying, and analyzing tax-related documents and client questions. These tools operate under strict confidentiality and do not make final decisions without human oversight. Under federal law (Internal Revenue Code §7216), we may only use or disclose your tax return information to these tools if you have signed a written consent form. This form will be presented to you during onboarding.

• If you consent to Form 7216, we may use AI tools to improve accuracy and turnaround time.
• If you decline, we will process your return entirely manually, without the assistance of external AI systems.

You may revoke this consent at any time by contacting us in writing.

6. Consent to Electronic Communications

By using the Services, you consent to receive electronic communications from us, including service updates, legal notices, and client-related correspondence. You may opt out of marketing communications but not essential service notices.

7. Payment Terms

Clients agree to pay fees as outlined in their engagement letter or invoicing terms. Payments are due upon receipt unless otherwise stated. Late payments may be subject to interest or suspension of Services.

8. Intellectual Property

All content, software, and materials provided through the Services are the intellectual property of TaxSpectra, LLC or its licensors. You may not copy, modify, distribute, or create derivative works without express written permission.

9. Confidentiality and Data Use

We maintain strict confidentiality of client data and comply with IRS regulations, including IRC §7216. We do not disclose or use tax return information without your written consent. See our Privacy Policy for full details.

10. Limitations of Liability

To the fullest extent permitted by law, TaxSpectra, LLC shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits, arising from or related to your use of the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless TaxSpectra, LLC and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, for any violation of these Terms or for any conduct that we believe is harmful to other users, us, or third parties.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the state in which TaxSpectra, LLC is headquartered, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in that jurisdiction.

14. Changes to Terms

We may modify these Terms at any time. Changes will be posted on our website with a new effective date. Continued use of the Services after changes constitutes your acceptance of the updated Terms.
